PROVIDING SERVICES AGREEMENT
This agreement is legally binding between you as an individual or (any legal entity you are acting on behalf of) or (hereinafter referred to as" instructor", "teacher", "trainer", "service provider"," you") and the platform (hereinafter referred to as, "platform", "company", "we"). By registering as an instructor and providing your services through the platform, you agree to be bound by this agreement. The platform reserves the right to update or amend these terms at any time, and we will post any changes we make on our platform or it will be sent via email. Your continued use of the platform or services after any of these modifications means your acceptance of them.
GENERAL CONDITIONS:
As an instructor or training center, you are responsible for the content you post, and you acknowledge and warrant the following:
1- You will provide accurate and complete information when registering for an account.
2- You have all necessary licenses, rights, consents, and permissions to allow the use of the submitted content and to request its publication.
3- Your content will not violate the intellectual property rights of any third party.
4- You have the qualifications, credentials, and experience required (including education, training, and the required skills) to share your content.
5- You must be over 18 years old.
6- You must have a local bank account.
REQUIREMENTS FOR INDIVIDUALS WHO PROVIDE TRAINING SERVICES:
1-freelance license.
2-National ID.
3-Bank account certificate (IBAN) or a copy of the IBAN card. The name of the beneficiary must be in English.
4- Provide licenses when it is required.
REQUIREMENTS FOR INSTITUTIONS WHO PROVIDE TRAINING SERVICES:
1-Commercial registration.
2- The owner’s ID
3-Bank account certificate (IBAN) or a copy of the IBAN card. The name of the beneficiary must be in English.
4- Provide licenses when it is required.
REQUIREMENTS FOR COMPANIES WHO PROVIDE TRAINING SERVICES:
1-Commercial registration.
2-Director General ID
3-Bank account certificate (IBAN) or a copy of the IBAN card. The name of the beneficiary must be in English.
4-The founding contract.
5- The ID of the owners who have 25% or more in the founding contract.
AS AN INSTRUCTOR OR TRAINING CENTER, IT IS YOUR RESPONSIBILITY TO AVOID THE FOLLOWING:
1-Post any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, or defamatory content.
2- Any content that exposes individuals or institutions and any content shows them offensively.
3- Publish or quote any copyrighted content without permission or consent.
4-Publishing any content that contradicts religious principles or common morals in society.
5- Publish any content that affects national unity (racist, sectarian, or tribal).
6- Publish any content that promotes other content or a product for a commercial purpose.
7- Using the platform's resources to provide services other than education and training services.
8- Any activity that violates a third party's proprietary rights, such as using audio recordings and music, without their consent.
9- Circumvention of the services, impersonation of another person, unauthorized access to another person's account, interfere in preventing other instructors from providing their services and content, or misuse the platform's resources, including support services.
10- Using the training materials on templates, graphic designs, and using the platform logo to present it to any other party.
SULLAM PLATFORM LICENSE:
1- You grant Sullam platform a non-exclusive license for quality control purposes.
2- Upon consent of the service providers, and after providing the platform with a license, the platform can use (name, voice, image) related to services or content the service providers wish to market.
TERMS OF USE AND PRIVACY POLICY:
You agree to be bound by the platform's terms of Use and Privacy Policy. To ensure compliance, you should review these policies periodically on Sullam platform.
DELETING CONTENT:

We reserve the right to delete content, suspend payments, or ban instructors or training centers for any reason at any time. Prior notice will be sent to the instructor or training center, including in the following cases:
1- Violating the applicable laws in the kingdom of Saudi Arabia, public order and morals, or the platform's policies.
2- The content is below our quality standards or has a negative impact on the student experience.
3- Instructor’s behavior that may cause defamation, contempt, scandal, or ridicule on the platform.
4- In the event where the instructor uses other marketing services or business partners in a way that may violate the platform's policies.

Sullam platform, who wishes to remove their content, can do so through the platform at any point, and they can request the platform to re-upload and publish their deleted content, while the platform reserves the right to accept or refuse for whatever reason.

You understand that if students have previously registered for your submitted content or services, your name and the submitted content may remain accessible to those students after deleting your account.
RELATIONSHIP WITH OTHER USERS:

The instructor does not have a direct contractual relationship with the students, so the only information you will receive about the students is what is provided to you through the platform. You agree that you will not use the data you receive for any purpose other than providing your services to these students through the platform, and that you will not request additional personal data or store students' personal data outside the platform. The platform disclaims any responsibility in case of any other use.

As an instructor or training center on the platform, you will have a relationship with students who enroll in your courses or training sessions. You agree to treat students with respect and professionalism, and you acknowledge that any communications with students must be related to the course or training being provided. You are not permitted to solicit personal information from students or engage in any behavior that could be construed as harassment or inappropriate. If a student complains about your behavior, the platform may investigate and take appropriate action, including suspending or terminating your account.

The instructor acknowledges and guarantees the student's right to access the recorded course in their system for life, and the ability to evaluate both the teacher and the content.
Responsibility for providing certificates to students:
The instructor can choose the option to automatically issue a completion certificate to the student upon completing the training course, using one of the templates provided by the platform or a template provided by the instructor or training center. However, the instructor or training center must commit to including the Sullam platform logo on the certificate to indicate the community partnership between the parties.
Platform Revenue:
The platform is entitled to a commission deducted from the revenue of the instructor or training center after the student purchases one of the provided services. The commission due to the platform is 15%.
Instructor/Training center Revenue:
The revenue of the instructor or training center is directly transferred to their bank account, provided to the platform at registration, after deducting the commission agreed upon by both parties through the intermediary contracted by the platform for payment operations. It should be noted that this process may take at least 48 business hours, and that the minimum transfer amount is 100 SAR. If the amount is less than that, it will be retained in the instructor or training center's account, and they must request a transfer for the amount to be transferred to them.
Refunds:
1) You acknowledge and agree that students have the right to refund their money in accordance with the terms of use.
2) The instructor will not receive any revenue from services for which refunds are issued under the terms of use.
3) It takes 7 to 14 business days to process refunds in accordance with the intermediary's policy for payment operations contracted by the platform.
Marketing Services:
The platform carries out marketing campaigns that help increase the visibility of your brand, aimed at increasing your potential revenue on the platform.
Discount Coupons:
The platform allows you to create a discount coupon to offer your content to students at a reduced price. When the student applies the coupon code during the checkout process, the discount percentage will be deducted from the instructor or platform's revenue in the following cases:
1- If the discount coupon is offered by the instructor or training center, the discounted amount will be deducted from the revenue of the instructor or training center.
2- If the discount coupon is offered by the platform, the discounted amount will be deducted from the platform's revenue.
3- If the discount coupon is offered by an agreement between the platform and the instructor, the discounted amount will be deducted equally from the revenue of both parties.
Trademarks:
You may use our trademark where we allow you to do so, provided that you comply with the following:
1- The use of the trademark should not be misleading or derogatory.
2- The trademark should not be used in a way that implies our endorsement or approval of the content or services provided.
3- The trademark should not be used in a way that violates applicable law or provides any indecent, inappropriate, or illegal content or material.
4- Your use of the trademark should be limited to those we provide to you only.
5- Your use of the trademark should be limited to promoting and selling your content available on the platform or your participation on the platform.
6- You must comply immediately if we ask you to stop using it.
Deleting your account:
You can delete your account at any time. You acknowledge that if students have previously registered for your content, your name and the content you provided may remain accessible to these students after you delete your account. If you need help or have difficulty deleting your account, you can contact us via email at info@sullam.net.
Intellectual Property Rights:
The instructor agrees to comply with the principles of intellectual property and publishing rights when uploading content. If the instructor uses training content that he/she does not own or does not mention the references and sources, he/she bears legal responsibility for this violation. The platform disclaims any responsibility for this.
INDEMNIFICATION:
You agree to indemnify and hold the platform, its officers, directors, employees, and affiliates harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the platform or services, your content, or any breach of this agreement.
DISCLAIMER OF WARRANTIES:
Sullam platform makes no warranties or representations about the accuracy or completeness of the content provided by instructors or training centers. You acknowledge that you use the platform and services at your own risk and that the platform is not responsible for any losses or damages you may incur.
LIMITATION OF LIABILITY:
Sullam platform will not be liable to you for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the platform or services, including but not limited to loss of profits, data, or other intangible losses. The maximum liability of the platform to you for any claim arising out of or relating to this agreement or your use of the platform or services will be limited to the amount paid by the student for the course or training session.
GOVERNING LAW AND JURISDICTION:

This agreement will be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia without regard to its conflict of law provisions.

Any dispute arising out of or relating to this agreement or your use of the platform or services will be resolved through arbitration in accordance with the rules of the Saudi Center for Commercial Arbitration. The arbitration will be held in Riyadh, Saudi Arabia, and the language of the arbitration will be Arabic.
Changes to this Agreement:
The platform may update or modify this agreement at any time, and we will publish any changes we make in the future on the platform's website. When changes are substantial, you will be notified of the changes by email. Please note that your continued use of the platform or services after any of these modifications means that you agree to them.
ENTIRE AGREEMENT:
o This agreement constitutes the entire agreement between the service provider and the platform and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this agreement.
By agreeing to this instructor agreement, you acknowledge that you have read, understood, and agreed to all its terms and conditions.
